Agreement on the Provision of Voluntary Charitable Assistance

 

1. GENERAL PROVISIONS

1.1. This public offer for the provision of charitable assistance (hereinafter referred to as the “Offer”), in accordance with Article 641 of the Civil Code of Ukraine, is a proposal by the Charitable Institution “Medical Center ‘Novo’”, EDRPOU 38557859, located at: Ukraine, 79007, Lviv, Shpitalna Street, 9 (hereinafter referred to as the “Institution”), represented by its Director, Maksym Romanovych Skoropad, acting on the basis of the Charter, to an indefinite circle of capable individuals and legal entities of private law who voluntarily engage in charitable activities (hereinafter each referred to as the “Donor”), to conclude an agreement on the provision of charitable assistance (hereinafter referred to as the “Agreement”) on the terms set forth in this Offer.

1.2. This Offer enters into force from the moment it is posted on the Institution’s website at the following link: https://www.novo.lviv.ua/novohelp/public-offer/ (hereinafter referred to as the “Website”). The Offer is indefinite and may be amended or revoked by the Institution at any time (prior to its acceptance by the Donor) by posting the relevant information on the Website.

1.3. The Institution may enter into agreements for the provision of charitable assistance in a different manner and/or on different terms than those provided in this Offer. The Donor may separately contact the Institution to conclude such an Agreement.

1.4. The Institution implements a project to assist socially vulnerable groups of the population, participants in hostilities since 2014, internally displaced children under 18 years of age, patients of military hospitals and rehabilitation centers, family members of military personnel, and persons missing under special circumstances. The charitable programs are ongoing.

1.5. The expected amount of assistance is 6 million UAH per year.
 

2. SUBJECT OF THE AGREEMENT

2.1. The subject of the Agreement is the gratuitous and voluntary transfer by the Donor to the ownership of the Institution of monetary funds by way of providing charitable assistance for the implementation of the Institution’s statutory activities (programs at https://www.novocharity.org.ua/novohelp/). The Donor independently determines the amount of charitable assistance. The Institution independently determines the directions for using the charitable assistance within the scope of its activities, unless otherwise specified by the Donor in the manner defined by the relevant Agreement. The receipt of profit, directly or indirectly, by any of the Parties is not the subject of the Agreement.

2.2. The transfer of monetary funds by the Donor under this Agreement is recognized as charitable assistance in accordance with Article 6 of the Law of Ukraine “On Charitable Activity and Charitable Organizations”.

2.3. At their own discretion, the Donor may specify the intended purpose of the assistance provided by selecting among the charitable directions, programs (projects) announced by the Institution. A Donor who makes a donation to a specific project agrees to its redistribution/use for other projects (for example, if the fundraising has been closed or is no longer relevant).

3. ACTIVITIES OF THE INSTITUTION

3.1. The Institution carries out its activities in accordance with the Charter.

3.2. The activities of the Institution are not aimed at making a profit.

3.3. Information about the Institution’s activities and reports on the results of such activities are posted on the Website.
 

4. MAKING A CONTRIBUTION

4.1. Charitable assistance is voluntary. The Donor agrees that it is not subject to subsequent return to the Donor.

4.2. In accordance with this Offer and the Agreement, charitable donations are provided by Donors and used by the Institution for conducting and ensuring charitable activities (implementation of directions, goals, and charitable programs) of the Institution in accordance with the Charter and the legislation of Ukraine. The Donor agrees with such intended use of their donation.

4.3. The Donor independently determines the amount of the charitable donation and makes it by means of a money transfer using the payment forms and tools placed on the Website.
 

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

5.1. The Institution undertakes to use the Donor’s charitable assistance funds in strict compliance with the legislation of Ukraine and solely within the scope of its activities.

5.2. The Institution has the right to independently determine the directions for using charitable assistance in accordance with the conduct and support of charitable activities and the legislation of Ukraine, except in cases where the Donor has specified a particular purpose for their assistance.

5.3. The Donor has the right to receive information on the use of their charitable assistance. Upon written request of the Donor, the Institution may also confirm the targeted use of the charitable assistance with additional documents.

5.4. By providing charitable assistance, the Donor unconditionally confirms their legal capacity, the voluntary nature of the transaction, and that the subject of the charitable assistance is not under prohibition, arrest, pledge, or encumbered by any third-party rights, and was not acquired in violation of the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds from Crime…”.
 

6. ACCEPTANCE

6.1. Acceptance means full and unconditional acceptance of the Offer by performing actions to make a money transfer using the payment forms and tools placed on the Website, or by transferring funds to the Institution’s current account through banking institutions. The moment of Acceptance is the date of the money transfer and/or crediting of funds to the Institution’s bank account.

6.2. Acceptance of the Offer means that the Donor agrees with all its provisions and fully understands and agrees with the subject of the Agreement.

6.3. The Donor and the Institution, guided by Articles 639, 641, and 642 of the Civil Code of Ukraine, agree that from the moment of Acceptance the Agreement is considered concluded.

6.4. The Institution processes the Donor’s personal data provided when visiting the Website and/or making a money transfer for the proper implementation of the Agreement and its charitable activities.
 

7. FINAL PROVISIONS

7.1. The relations between the Donor and the Institution are governed by the current legislation of Ukraine.

7.2. The liability of the Institution for violation of the Agreement or the procedure for using charitable assistance arises on the grounds, in the amount, and in the manner determined by the current legislation of Ukraine.

7.3. In the event of disputes between the parties to the Agreement, they shall be resolved through negotiations. If impossible, disputes shall be resolved in court in accordance with the legislation of Ukraine.
